These Terms of Service ("Terms") govern (a) your use of this website (akay.design), and (b) any website design or development project you engage akay.design to carry out. By browsing this site, booking a call, or engaging akay.design for a project, you agree to these Terms.
1. Who we are
akay.design is operated by Akshay, an individual sole proprietor based in Udupi, Karnataka, India. "I", "me", "we" refer to akay.design; "you", "client" refer to the person or business engaging these services.
2. Website use
This website and its content (text, design, code, images) are provided to describe my services and let you book a call. You may not copy, reproduce, or repurpose the site's design or content for commercial use without permission.
3. Services offered
I design and build websites — typically fast, SEO-focused sites for small businesses. Every engagement starts with a free call to understand your business and what you need.
4. How an engagement works
After our call, I'll send a written proposal covering the scope of work, timeline, and price specific to your project. These Terms apply as the general baseline for every engagement; anything specifically agreed in a proposal or written communication takes precedence over these Terms where the two conflict. Work begins once you approve the proposal and pay the advance (see Section 5).
5. Payment
- Unless otherwise agreed in writing, projects are billed 50% advance before work begins, and the remaining 50% before final files/access are handed over.
- Invoices are in INR unless otherwise agreed. GST is charged additionally if applicable.
- The advance payment is non-refundable once work has started, covering time already committed.
- Late payment may pause work until the outstanding amount is settled.
6. Revisions
Each project proposal specifies how many rounds of revisions are included. Additional revisions beyond that are billed separately at a rate agreed in advance.
7. Your responsibilities
You agree to provide the content, images, brand assets, and feedback needed to complete the project in a timely manner. Delays in providing these may extend the project timeline accordingly.
8. Ownership & IP
- Until final payment is received, all design and code work remains my property.
- Once final payment is made, ownership of the final deliverables (the website itself) transfers to you.
- I retain the right to showcase completed work in my own portfolio and marketing, unless you request confidentiality in writing before the project starts.
- Any third-party tools, templates, plugins, or stock assets used remain subject to their own licenses.
9. Timelines
Timelines quoted in a proposal are estimates based on you providing content and feedback promptly. Delays on your end may push back the delivery date without penalty to me.
10. Cancellation
- You may cancel a project at any time in writing. The advance payment is non-refundable, and you'll be billed for any additional work completed beyond what the advance covers.
- I may decline or discontinue a project if a client is abusive, unresponsive for an extended period, or in breach of these Terms, in which case fees for work completed remain payable.
11. No guaranteed results
I build fast, well-structured, SEO-friendly websites, but I cannot guarantee specific Google rankings, traffic, or business outcomes — these depend on many factors outside my control, including competition, your industry, ongoing content and marketing effort, and search engine algorithm changes.
12. Limitation of liability
To the maximum extent permitted by law, my liability for any claim arising from a project is limited to the amount you paid me for that project. I'm not liable for indirect or consequential losses, such as lost profits or business opportunities.
13. Confidentiality
I'll keep any confidential business information you share with me private, and expect the same regarding any non-public tools, processes, or pricing I share with you.
14. Governing law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Udupi, Karnataka.
15. Changes to these Terms
I may update these Terms from time to time; the date at the top reflects the latest version. For active projects, the Terms in effect at the time the proposal was signed will continue to apply unless we agree otherwise in writing.
